Terms & Conditions

1. Engagement

RoxaIT Pty Ltd provides consulting, engineering, and technical writing services following statements of work (SOWs) agreed with each client. These terms apply to all engagements unless superseded by a signed master services agreement.

2. Fees & payments

Consulting engagements are billed per SOW milestones or monthly retainers. API usage is billed through Stripe via plan tiers or metered usage. Invoices are due within 14 days. Overdue balances may incur a 1.5% monthly charge.

3. Intellectual property

Work product delivered under paid engagements becomes the client's property upon full payment, excluding pre-existing RoxaIT accelerators and open-source components. We may reuse generic frameworks and libraries.

4. Confidentiality

Both parties agree to protect confidential information with the same care used for their own confidential data. Shared materials must only be used for the project and returned or destroyed on request.

5. Warranties & disclaimers

RoxaIT warrants that services will be performed with reasonable skill and care. We do not guarantee uninterrupted service or specific business outcomes. To the extent permitted by law, liability is limited to fees paid in the previous three months.

6. Stripe subscriptions

API subscriptions auto-renew each billing cycle unless cancelled via the Stripe Customer Portal. Usage exceeding plan limits may incur metered charges. Refunds are handled per Australian consumer law.

7. Governing law

These terms are governed by the laws of Western Australia. Disputes will be handled by the courts of Western Australia.
